2. Educational-Only Disclaimer (Scope Boundaries)

Derlavo is an educational platform. The website and all course materials are provided for instructional purposes only. We do not provide production services, studio rental, equipment rental, talent booking, on-site crew services, or any “done-for-you” work. The content is not a substitute for on-set supervision in your specific environment.

We do not provide career placement, client acquisition, or guaranteed professional outcomes. Studio conditions vary, and results depend on your room, gear, crew size, and practice time. Any examples, templates, shot lists, run-of-show formats, or directing language are provided as educational references; you remain responsible for how you apply them.

3. Description of the Service

The service consists of written and visual educational materials focused on studio interview and conversation-based formats: camera placement and framing, multi-camera coverage roles, basic studio lighting for seated setups, guest/host direction in a controlled environment, shot planning and blocking, and planning documents such as shot lists and run-of-show notes.

We may update, reorganize, expand, or remove content over time. We may also suspend or discontinue any part of the site for operational reasons. Content availability may change without notice.

4. Acceptable Use

You agree to use the website in a lawful manner and to avoid actions that could harm the website, other users, or our operations. In particular, you agree not to:

• Access, scrape, crawl, or collect content using automated means without our prior written permission.
• Attempt to bypass security controls or probe the site for vulnerabilities.
• Interfere with the site’s availability (including denial-of-service attempts) or attempt to overload our infrastructure.

7. Disclaimer of Warranties

The website and all materials are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the site will be uninterrupted, error-free, secure, or free from harmful components. We also do not warrant that the educational content will meet any particular production requirement in your environment. Studio work is sensitive to variables such as room size, acoustic treatment, sensor response, lens matching, and operator practice; outcomes will differ.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Fera Holding B.V. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, business interruption, or reputational harm, arising out of or related to your use of the website or materials.

To the extent we are found liable for any claim, our total liability for all claims arising out of or relating to the site or these Terms shall be limited to the greater of (a) the amount you paid to Fera Holding B.V. in the 12 months preceding the event giving rise to the claim, or (b) €100.

Nothing in these Terms limits liability for intent or gross negligence where such limitation is not permitted under Dutch law, or for any other liability that cannot be excluded or limited by applicable law.

9. Indemnification

You agree to indemnify and hold harmless Fera Holding B.V. from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from (a) your use of the website in violation of these Terms, (b) your submission of false or unlawful information, or (c) your infringement of any third-party rights.

10. Force Majeure

We are not responsible for delays or failures in performance resulting from events beyond our reasonable control, including natural disasters, war, civil disturbances, pandemics, labor disputes, internet outages, cyberattacks, cloud provider failures, or power interruptions.

11. International Use

Fera Holding B.V. is registered in the Netherlands, and the site is operated from the Netherlands. We make no representation that the website or materials are appropriate or legally available in all jurisdictions. You are responsible for compliance with local laws that may apply to your use.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of the Netherlands, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the website shall be submitted to the competent courts in The Hague, the Netherlands, unless mandatory consumer protection rules require otherwise.

If you are a consumer residing in the European Union, you may also benefit from mandatory provisions of the consumer protection laws of your country of residence. Nothing in this section limits those rights.

13. Dispute Resolution (Informal First)

Before filing a formal claim, you agree to contact us to attempt to resolve the issue informally. Provide a clear description of the concern and any relevant context. We will make a good-faith effort to respond within a reasonable time, typically within 30 days.

14. Termination

We may suspend or terminate your access to the site if we reasonably believe you have violated these Terms, attempted to compromise site security, or used the site in a way that harms operations. Termination may be immediate where necessary to protect the site and users.

Sections concerning intellectual property, disclaimers, limitation of liability, indemnification, and governing law survive any termination of these Terms.

15. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect. The invalid provision will be interpreted, where possible, to reflect the original intent in a lawful manner.

16. Entire Agreement

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Fera Holding B.V. regarding the website and supersede any prior or contemporaneous communications on the subject.

17. Assignment

We may assign or transfer these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets. You may not assign your rights or obligations under these Terms without our prior written consent.

18. No Waiver

Failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

19. Changes to These Terms

We may update these Terms from time to time. Changes become effective 14 days after we post the revised Terms on this page, unless the change is required by law or is necessary for security reasons, in which case it may take effect sooner. The “Last Updated” date at the top indicates the most recent revision.

20. Electronic Communications

You agree that electronic notices satisfy any legal requirement that such communications be in writing, consistent with applicable electronic communications laws, including eIDAS where relevant.
